By creating an account or using the ShowLynk platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. You must be at least 18 years old to create an account.
ShowLynk reserves the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
ShowLynk is an online marketplace that connects musical artists and bands ("Bands") with live music venues ("Venues") for the purpose of booking live performances. ShowLynk provides tools for discovering talent, negotiating bookings, messaging, and managing engagements, but is not itself a party to any agreement between a Band and a Venue.
ShowLynk does not guarantee that any booking will be completed, that payment will be received, or that any performance will occur as agreed between a Band and a Venue.
You agree to provide accurate, current, and complete information when creating your account and to keep your account information updated. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials. Notify us immediately of any unauthorized use of your account.
You may register as either a Band or a Venue. One account may not represent both. ShowLynk reserves the right to verify account information and to suspend or terminate accounts that contain false or misleading information.
You agree not to:
ShowLynk facilitates the discovery and negotiation of live music bookings. Any financial transaction, payment, deposit, or performance fee is agreed upon solely between the Band and the Venue. ShowLynk is not a party to these financial arrangements and is not responsible for ensuring payment, resolving payment disputes, or guaranteeing performance of any booking.
Users are encouraged to use written agreements for any confirmed booking. ShowLynk may provide templates or tools for this purpose, but these do not constitute legal advice and are not a substitute for independent legal counsel.
Users may leave reviews and ratings after a completed booking. Reviews must be honest, accurate, and based on the user's genuine experience. ShowLynk reserves the right to remove reviews that violate these Terms or that are determined to be fraudulent, defamatory, or abusive.
Users who receive a review may have the ability to submit a one-time response to reviews of 2 stars or below. Responses must remain professional and factual.
You retain ownership of content you upload to the Service, including photos, videos, audio, press kits, and stage plots ("User Content"). By uploading User Content, you grant ShowLynk a non-exclusive, worldwide, royalty-free license to display, store, and distribute that content solely for the purpose of operating the Service.
You represent and warrant that you own or have the necessary rights to all User Content you upload, and that your User Content does not infringe any third-party rights or violate any applicable law.
The ShowLynk name, logo, platform design, and all associated software and content created by ShowLynk are the exclusive property of ShowLynk and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use ShowLynk's trademarks, logos, or brand assets without prior written permission.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SHOWLYNK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE FULLEST EXTENT PERMITTED BY LAW, SHOWLYNK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE OR ANY BOOKING ARRANGED THROUGH THE SERVICE, EVEN IF SHOWLYNK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SHOWLYNK'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless ShowLynk and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of another party.
ShowLynk may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violations of these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.
These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which ShowLynk is headquartered, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in that jurisdiction, and you consent to personal jurisdiction in those courts.
